AFFILIATE TERMS OF USE

AFFILIATES AGREEMENT 

THIS IS A LEGAL AGREEMENT (“TERMS”, “AGREEMENT”) BETWEEN THE AFFILIATE (“YOU”, “YOUR”, “AFFILIATE”) AND THE REMOTE CHESS ACADEMY (“RCA”, “WE”, “OUR”, “WEBSITE”) BY CLICKING ON THE "ACCEPT" BUTTON BELLOW OF THIS AGREEMENT, YOU AGREE THAT YOU ARE AFFIRMATIVELY STATING THAT YOU HAVE CAREFULLY READ AND UNDERSTAND THE TERMS SET FORTH IN THIS AGREEMENT AND YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. YOU ALSO STATE THAT YOU HAVE SUSCRIBED OR ARE SUBSCIBING TRUTHFUL AND COMPLETE INFORMATION. YOU STATE THAT YOU HAVE A VERIFIED PAYPAL ACCOUNT, AND THAT YOU ARE OVER 18 YEARS OF AGE. 

1. Application Process

Become an Affiliate of RCA first of all, you need to submit a complete Program application through our site at http://chess-teacher.com/affiliates/ . We will evaluate your application in good faith and will notify you of your acceptance or rejection. We may reject your application if we determine (in our sole discretion) that your website/blog/link might be unsuitable for the Program. If we reject your application, you are welcome to reapply to the Program at any time. You should also note that if we accept your application and your site is thereafter determined (in our sole discretion) to be unsuitable for the Program, we may terminate this Agreement. 

2. Term of the Agreement 

The term of this Agreement will begin upon OUR acceptance of YOUR Application and will end when terminated by either party. Either party may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination. Written notice can be in the form of mail, email or fax. You are only eligible to earn a commission on Sales occurring during the term of the Agreement, and commissions earned through the date of termination will remain payable only if the related earnings are not cancelled or returned. If this Agreement is terminated because you have violated the terms of this Agreement, you are not eligible to receive any commission payments, even for commissions earned prior to termination.

3. Affiliate Relationship Identifiers and Marketing Material

We will make available to you several banners and/or other code material for you to use optionally, based on your own marketing and sale criteria. You must create links, banners, images and other related material to our website, based on the material and code provided by us in/on your member account. We may modify the text or graphic image of this notice from time to time. Nevertheless, even though you are a member of our Affiliate Program, you may not in any manner misrepresent or embellish the relationship between you and us, nor may you express or imply any relationship or affiliation between us and you or any other person or entity except as expressly permitted by this Agreement.

4. Full Cooperation

You agree to fully cooperate with us sequentially to establish and maintain any links between the Website on chess-teacher.com  and your site/blog or other. You also agree that those graphic images that you display pertaining to the OUR web site, for use as a link or otherwise, will only be graphic images that we provide to you, you create of your account using the code. If we update any of this information, YOU MUST COMPLY AND UPDATE old content you use IMMEDIATELY, or in the next 5 days, which will imply your obligation to review the codes and other provided material with frequency.

5. LIMITATION LIABILITY 

THE RCA MAKES NO RESPONSIBILITY, AND SHALL NOT BE LIABLE FOR ANY DAMAGES TO, OR VIRUSES THAT MAY INFECT YOUR COMPUTER EQUIPMENT OR OTHER PROPERTY ON ACCOUNT OF YOUR ACCESS TO, USE OF, OR BROWSING IN THIS SITE OR DOWNLOADING OF ANY MATERIALS, DATA, TEXT, OR IMAGES FROM THE SITE AND EVEN WHEN ON YOUR ACCOUNT.     

RCA does not accept any liability for any injuries, losses, claims, damages or any indirect or consequential loss of any kind in contract, tort or otherwise arising out of the use of the Web site or for Affiliate Program or services or products purchased from chess-teacher.com . RCA does not guarantee the availability and/or quality of products and/or services, accuracy of information provided by third parties, or yourself as an AFFILIATE. 
      
6. Indemnification

You agree to defend, indemnify, and hold harmless RCA, and their officers, directors, employees and agents, from and against any claims, actions or demands, including without limitation reasonable legal and accounting fees, alleging or resulting from your use of the Material (including Software) or your breach of the terms of this agreement or inaccuracy of information or the availability and/or quality of Affiliates Program and/or services provided by third parties. RCA shall provide notice to you promptly of any such claim, suit, or proceeding and shall assist you, at your expense, in defending any such claim, suit or proceeding.

7. Affiliate Payment 

You will receive a Commission for sending a costumer authorized sales, leads, and/or clicks via Your Links, when costumer pays with a valid credit instrument, and does not ask for a refund. The commission for this kind of Sale is 50% of the product cost. RCA may change the percentage at its own discretion.  You understand that the Payout amount may be changed at any time, and as many times as it sees fit. You are responsible for determining if the payout for a link You have placed on Your site, or elsewhere, has changed or been discontinued. Payments are made automatically on the fifth day of each month. Money credited to Your Account does not accrue interest. In the event of a VOID by a costumer you have referred, or if the referred costumer asks for a refund, RCA may recover from You the corresponding Commission previously credited to Your Account, at any time, at the RCA’s sole Discretion, and without possible claims of you, other involved affiliates, or by the costumer directly. The VOID Commission will be immediately deducted from Your Account balance without previous notice. In the event that Your Account balance is less than the VOID Commission, the VOID Commission will be deducted against Your future earnings. You will NEVER be asked to send money to RCA or the Our Website. Commission will only be earned if you link and follow the procedure correctly, no claims shall be taken if the Sale is not conducted this way by your referred costumer. We reserve the right to disqualify commissions earned through fraudulent, illegal, or overly aggressive, questionable sales or marketing methods.

8. Payments with PayPal

Commissions are paid by PayPal and only by PayPal. We cannot send checks, credit or pay credit cards, or send cash. Payments will only be conducted through Paypal, therefore you must provide a valid, verified Paypal account, and be able to receive payments on it. Failure to provide this may develop into account suspension. If you don't have a PayPal account you can sign up for one at any time, but you will not be paid until you have one.
PayPal payments will only be reissued within 120 days of the original issue date in the case of incorrect PayPal address or refusal from PayPal to accept payment.

9. Refund Policy

Our Refund Policy for Costumers Referred by any Affiliates of our Affiliate program will only be for 31 days, and for only 50% of the total cost of the purchased product. You, the Affiliate, are solely responsible of making sure Your Referred costumer knows this, and You will make sure the Costumer has full knowledge of the Terms of Agreement stated on the chess-teacher.com Website. Failure of doing this may result in the non-obligation of RCA to comply to the requested payment of the Affiliate’s commission. Your sole participation of the program states a guarantee that you will comply to the above stated. Please do not participate in the program if you are not willing to comply to communicate this fact properly to your referral costumers, potential buyers, or others non stated herein.

10. NON-DISCLOSURE

RCA acknowledges that in the course of this Agreement it shall have access to confidential and proprietary information ("Confidential Information") of Your information, company, links, websites, and others which may be related due to your usage of the affiliate program. You agree not to disclose or disseminate the Confidential Information without Our prior express written consent. The term "Confidential Information" shall not include information that is or becomes part of the public domain through no action or omission of one of the parties, that becomes available to RCA or the AFFILIATE from third parties without knowledge by  RCA of any breach of fiduciary duty, or that RCA had in its possession prior to the date of this Agreement. Never in any case may the AFFILIATE use, give, reuse, publish, sell, any of the data, strategies, and assets given by RCA on their affiliate program, on their website, be it for sale or be displayed as simple information. Infringement may be reason for immediate expulsion of the program.

11. OWNERSHIP AND LICENSES

You, the Affiliate, are granted a non-exclusive, limited, revocable right to use provided trademarks and banners, as well as codes and strategies of your member account. All images, technology and content provided for Your use is and shall remain the sole property of RCA, and no part thereof shall be deemed assigned or licensed to You except as explicitly provided for herein. All intellectual property rights, including trademarks, copyrights, patent rights or applications, trademarks and service marks related to the foregoing shall remain RCA’s sole property, including rights in and to any derivatives thereof. You may not modify the trademarks, banners, the content or any of the images provided to You in any way. 

RCA may immediately terminate Your license to use the marks if the RCA reasonably believes that such use dilutes, tarnishes or blurs the value of their marks. You acknowledge that Your use of the marks will not create in You, nor will You represent that You have, any right, title or interest in or to the marks other than the license granted by the RCA above. You will not challenge the validity of or attempt to register any of the marks or Your interest therein as a licensee, nor will You adopt any derivative or confusingly similar names, brands or marks or create any combination marks with the marks. You acknowledge the RCA’s ownership and exclusive right to use the marks and agree that all goodwill arising as a result of the use of the marks shall inure to the benefit of RCA.

12. REPRESENTATIONS

RCA makes no representations whatsoever about any other Website which You or your referred costumer may access through the Service. In addition, a link to a RCA Website does not mean that RCA endorses or accepts any responsibility for the content or the use of such Web site. 
You represent that you will make sure that your referred costumer has read all terms and conditions of the Chess-teacher.com website, knows the details of pricing, refunds, sending costs and other policies of RCA which may concern him. In the event your referred costumer claims not to have known any of the stated here in this clause, or any part of these Terms, you shall be solely responsible to him, and hold RCA immune to any reclamations, legal claims, lawsuits, or other due to your omission of correctly communicating these Terms and Agreements, or any other claims, due to faulty referrals policy, or other not stated herein. 

13. FORCE MAJEURE 

Neither party shall be liable hereunder by reason of any failure or delay in the performance of its obligations hereunder on account of strikes, shortages, riots, insurrection, fires, flood, storm, explosions, acts of God, war, governmental action, labor conditions, earthquakes or any other cause which is beyond the reasonable control of such party. 

14. Violation, Breach of these Terms and Account Suspension or Termination.

Violation or breach of any of these Terms will result in the termination of your Account and for forfeiture of any outstanding affiliate commission payments earned during the violation. All your data, including any pending balance on your account, will be deleted at RCA’s sole discretion.  You agree to use the Affiliate Program at your own risk. The decision of suspending or terminating your member account as an Affiliate will be solely judged by RCA, depending on the importance of the breach.

15. Prohibited Behavior

You agree to follow these terms and to not do any of the following:
i. Illegal Spamming of RCA Products and Services.
ii. Using any sort of spam enhancement software, emails bombing, fake linking, and so on. 
iii. Conduct any type of illegal or questionable behavior on any sort of virtual places, chat rooms, forums, blogs, websites, or any other place of the internet where you promote RCA services and products, by linking, placing bans, images or other, which link to Our Website.
iv. Provide any wrong information, either voluntarily or non voluntarily to RCA when registering. 
v. Placing, creating, inventing costumers, or any other conduct which leads to fake sale’s. 
vi. Not placing ads properly and complying to these terms, stating clearly the terms applicable to costumers on your own marketing strategies. 
vii. Buying products yourself using your own affiliate link. 
viii. Any fraudulent behavior against RCA’s best interests.
ix. Complying to the Account Terms.

16. Account Terms

i. You must be 18 years or older to be part of this Program.
ii. You must be a legal citizen of the place where you conduct Affiliate Business regarding RCA, and take care of your own taxes regardless RCA income. 
iii. You may not use your affiliate link in any email you send using or related to the RCA Affiliate program.
iv. You must be a human. Accounts registered by “bots” or other automated methods are not permitted.
v. You must provide your legal full name, a valid email address, and any other information requested in order to complete the signup process.
vi. Your login may only be used by one person – a single login shared by multiple people is not permitted.
vii. You are responsible for maintaining the security of your account and password. RCA cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
viii. You are responsible for all Content posted and activity that occurs under your account (even when Content is posted by others who have accounts under your account).
ix. One person or legal entity may not maintain more than one account.
x. You may not use the Affiliate Program for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).

17. ARBITRATION

Any dispute relating in any way to this Agreement (including any actual or alleged breach hereof), any transactions or activities under this Agreement or your relationship with us or any of our affiliates shall be submitted to confidential arbitration within the United Kingdom. 
Arbitration under this agreement shall be conducted under the rules then prevailing of an Arbitration Association. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under this Agreement shall be joined to an arbitration involving any other party subject to this Agreement, whether through class arbitration proceedings or otherwise.

18. Alteration and Changes to these Terms

RCA may modify, amend or alter any of the terms and conditions contained in this Agreement, at any time in our sole discretion. Notification to you of any change by e-mail or posting of a change notice on the Website shall be considered sufficient notice to you of a modification to the terms and conditions of this Agreement. Your continuing usage after the changes have taken place in these Terms, signifies Your acceptance of the changes made.
